14. Dispute Resolution: Governing Law, Mediation and Arbitration
This arbitration provision is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq. and not by any state rule or statute governing arbitration. These Terms shall be governed by the law of the State of Florida, without regard to any conflict of laws provisions. In the event of any controversy, claim, or dispute between the parties arising out of or relating to the Terms, the parties agree to first provide notice of such dispute and attempt to resolve it on their own within ten (10) days. If such effort is unsuccessful, the parties agree to attempt to resolve all issues with the assistance of a certified JAMS mediator, with the parties splitting the mediator’s fee. In the event there is no resolution through mediation, the parties agree to resolve such outstanding dispute solely through the use of Binding Arbitration, in accordance with the JAMS Streamlined Arbitration Rules & Procedures. Any such Arbitration shall take place in Florida or such location as the parties may agree (including via video conference), and be conducted by a mutually agreed upon JAMS arbitrator. The arbitrator shall be neutral, independent, and shall comply with the JAMS code of ethics. The arbitrator shall have the exclusive and sole authority to resolve any dispute relating to the interpretation, applicability, enforceability, conscionability or formation of the Terms and of this arbitration requirement. In the event the JAMS will not accept the arbitration, another nationally recognized service shall be used. The award rendered by the Arbitrator shall be final, binding on all parties, but subject to review in accordance with applicable statutes, rules and regulations governing arbitration awards. Judgment on the award made by the Arbitrator may be entered into any court having jurisdiction over the parties. The parties further agree that either party may bring claims against the other only in his/her, or its individual capacity and not as a Plaintiff or class member in any purported class action or representative proceeding. Further, the parties agree that the Arbitrator may not consolidate proceedings of more than one person’s claims, and may not otherwise preside over any form of representative or class proceeding. Payment of all filing, administration and arbitrator fees will be governed by the JAMS rules. In the event that a party fails to proceed with Arbitration, unsuccessfully challenges the Arbitrator’s award, or fails to comply with the Arbitrator’s award, the other party shall be entitled to costs of suit, including reasonable attorneys’ fees for having to compel Arbitration or defend or enforce the award.
15. Changes to Terms
We may update these Terms from time to time. All changes will be posted on our Website with the updated effective date. Continued engagement with our Services constitutes acceptance of revised Terms.
